Contractual Terms
Terms and Conditions of Sale
General terms and conditions applicable to Mystorie Studio's B2B services: strategy, websites, business systems, automation, AI, content and digital support.
01
Service provider identity and scope of application
These terms and conditions of sale (the “Terms”) are offered by Mystorie Studio, a sole proprietorship (entreprise individuelle), 128 Rue La Boétie, 75008 Paris, SIRET 510 549 637 00021, intra-Community VAT number FR08510549637, contact@mystorie.fr, hereinafter “Mystorie”.
They apply exclusively to orders placed by clients acting for professional purposes. They do not constitute terms of sale to consumers. Every order entails full acceptance of the Terms in force on the date it is accepted, subject to applicable mandatory provisions.
02
Definitions and contractual documents
“Client” means the professional ordering the service. “Deliverables” means the items expressly provided for in the quotation. “Third-Party Services” means software, platforms, hosting providers, APIs, artificial intelligence models and other solutions operated by separate providers.
The contract comprises, in descending order of priority, the accepted quotation or order form, any appendices to it, these Terms and written exchanges specifying how the work will be performed. In the event of a conflict, the higher-ranking document prevails. The Client's purchasing terms apply only if Mystorie expressly accepts them in writing.
03
Services covered
Mystorie provides services including digital strategy and audits, UX/UI design, creation or redesign of websites, landing pages and platforms, development of web apps and business systems, no-code or code integrations, workflows and automation, generative or operational AI, photo and video production, content, training, consulting, hosting, maintenance and support.
Only the work, features, volumes, formats, timeframes and Deliverables expressly stated in the quotation are included. Any service not described is outside the scope.
04
Quotations, orders and formation of the contract
Unless otherwise stated, a quotation is valid for thirty days. The order becomes binding upon receipt of its written acceptance by an authorised person and payment of the stipulated deposit. Explicit confirmation by email may constitute acceptance.
Mystorie may make the start of work conditional on receiving the necessary information, access and content. Any capacity reservation, purchase or commitment to a third party made with the Client's agreement is payable.
05
Scope, assumptions and exclusions
Estimates are based on the information supplied before the order. Any omission, new constraint, unusable data, change of environment, or unannounced regulatory or technical requirement may change the price, schedule or scope.
Unless otherwise stated, the following are not included: comprehensive writing or translation, purchase of media or licences, large-scale data entry, complex migration, sector-specific legal compliance, certified accessibility, audited cybersecurity, guaranteed search rankings, maintenance, hosting, backups, ongoing support and the costs of Third-Party Services.
06
Prices, taxes and third-party costs
Prices are stated in euros excluding tax, to which applicable taxes are added. Travel expenses, media purchases, licences, subscriptions, domain names, hosting, APIs, AI models and other third-party expenses are billed to the Client or subscribed to directly by the Client, as specified in the quotation.
For recurring services, any price change is notified at least thirty days before it takes effect, subject to the agreed commitment period. An increase imposed by a Third-Party Service may be passed on after the Client has been informed.
07
Invoicing and payment
The payment schedule is set out in the quotation. Failing that, a deposit of 30% to 50% is required on ordering, depending on the assignment, with the balance due on delivery or according to the agreed progress schedule. Invoices are payable on receipt, unless a different period is stated on the invoice or quotation, by bank transfer or another means offered by Mystorie.
No discount is granted for early payment. The Client may not withhold, set off or reduce a payment because of a claim not acknowledged by Mystorie or established by a final decision.
08
Late payment and suspension
Any late payment automatically gives rise, without a reminder, to penalties at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, without falling below the statutory minimum, as well as a fixed recovery charge of EUR 40 per invoice. Additional compensation may be claimed if the costs incurred exceed that amount.
After informing the Client, Mystorie may suspend work, deliveries, access, maintenance or production deployment until amounts due are paid. This suspension postpones the schedule and does not release the Client from its obligations.
09
Cooperation and Client obligations
The Client appoints an authorised contact, provides the content, data, access, approvals and decisions needed within the agreed timeframes, checks that necessary backups are in place and informs Mystorie of any technical, legal, business or sector-specific constraint.
The Client remains responsible for the accuracy, lawfulness and compliance of its content, offers, data processing, notices, databases and instructions. The Client must obtain the necessary internal authorisations, image rights, licences and legal approvals before publication.
10
Schedule, delays and project dormancy
The schedule depends on the timely cooperation of the Client and third parties. Any delay in providing materials or approvals postpones deadlines by at least an equivalent period, without giving rise to liability for Mystorie.
If the Client does not respond for thirty calendar days, Mystorie may place the assignment on hold, invoice work performed and commitments made, then reschedule the restart according to its availability. Technical updates or a new quotation may be needed before work resumes.
11
Changes, revisions and additional requests
A request that changes the objectives, scope, volumes, user journeys, data, technology or a Deliverable is subject to an additional estimate and may change the schedule. Mystorie is required to carry it out only after written agreement.
Unless otherwise stated in the quotation, two consolidated rounds of adjustments are included. A defect is a reproducible deviation from the agreed scope; a new preference, change or adaptation to an altered environment constitutes an additional request.
12
Subcontracting and contributors
Mystorie may entrust all or part of the assignment to qualified team members or subcontractors while remaining responsible for the proper performance of its contractual obligations. Where personal data processing requires it, the applicable obligations are passed on to the subcontractors concerned.
13
Third-Party Services, licences and accounts
Deliverables may depend on Third-Party Services such as CMS platforms, hosting providers, cloud services, automation tools, databases, APIs, payment software, analytics tools or AI services. The Client accepts their terms, prices, limits and changes when they are necessary for the project.
Mystorie does not control their availability, security, pricing policy or continued functionality. Mystorie is not responsible for an interruption or change outside its control, but informs the Client and, where reasonably possible, proposes a billable adaptation. Accounts intended for the Client are opened in its name wherever possible.
14
Artificial intelligence
The services may incorporate artificial intelligence tools. The Client acknowledges the probabilistic nature of their outputs and undertakes to carry out human review before any sensitive, regulated or public use.
The Client must not send confidential, personal, protected or prohibited data to a model without informing Mystorie and without an appropriate legal basis or authorisation. Unless expressly agreed, Mystorie does not guarantee the accuracy, originality or continuous availability of a third-party model, nor the absolute absence of similarity to existing content.
15
Personal data and security
Each party complies with the applicable personal data regulations. Where Mystorie processes data on the Client's behalf, the Client generally acts as controller and Mystorie as processor; the instructions, data categories, measures and periods are specified in the quotation, an appendix or an agreement compliant with Article 28 of the GDPR.
The Client limits access and data to what is strictly necessary. Mystorie implements measures reasonable for the assignment, without guaranteeing absolute security. Any heightened requirement, audit, specific encryption, prescribed hosting, business continuity plan or certification must be contracted separately.
16
Delivery, review and acceptance
Deliverables are handed over by making them available, sending them, presenting them, deploying them or providing access. The Client has ten working days to review them and notify Mystorie in writing of specific, comprehensive and reproducible reservations in relation to the quotation.
If no reservations are made within this period, or in the event of production deployment, publication, actual use or payment of the balance without substantiated reservations, the Deliverables are deemed accepted. Mystorie corrects defects within the agreed scope; changes and new preferences remain billable.
17
Maintenance, support and backups
Delivery ends the assignment unless maintenance or support is expressly provided for. Updates, monitoring, backups, restoration, ongoing security, renewals, user assistance and compatibility with future versions are not included without a dedicated contract.
Service levels, support hours, response times and exclusions are binding only if stated in a maintenance quotation or contract.
18
Suspension and refusal to perform
Mystorie may suspend or refuse an instruction that is manifestly unlawful, misleading, dangerous, contrary to third-party rights or a provider's rules, or liable to compromise a system. Mystorie informs the Client and, where possible, seeks a compliant alternative.
Suspension is also possible in the event of non-payment, a serious failure to cooperate or a security risk. Costs already incurred and work already performed remain payable.
19
Cancellation and termination
If the Client cancels without fault on Mystorie's part, the following remain payable: work performed, time reserved that cannot be reallocated, third-party purchases and commitments, and closing costs. The deposit is applied against these sums; any surplus is returned and any shortfall remains payable.
In the event of a serious breach, the other party may terminate the contract eight calendar days after a formal notice has remained without effect. Termination may be immediate in the event of illegality, a security breach, a serious breach of confidentiality or definitive impossibility of performance. Rights and obligations intended to survive remain applicable.
20
Intellectual property
Each party retains ownership of its pre-existing materials. Mystorie retains its methods, know-how, libraries, generic components, scripts, templates, design systems, tools and reusable elements. Third-party licences remain subject to their own terms.
Economic rights in specifically created works are assigned only after full payment and only in accordance with the rights, uses, territories, media and periods specified in the quotation. In the absence of a detailed assignment, the Client receives a non-exclusive licence limited to the professional needs for which the order was placed. Source files, raw footage, prompts, working files and administration tools are handed over only if expressly provided for.
Unless confidentiality has been agreed, Mystorie may name the Client and present public Deliverables in its portfolio, sales proposals and communication materials.
21
Materials provided by the Client
The Client warrants that it holds all rights and authorisations for the trademarks, text, images, videos, music, data, software and other materials supplied to Mystorie. The Client indemnifies Mystorie against any third-party claim resulting from their use in accordance with the Client's instructions, provided Mystorie informs the Client promptly and allows it to participate in the defence.
22
Confidentiality
Each party protects information identified as confidential or whose nature reasonably requires confidentiality, and uses it only to perform the contract. This obligation does not cover information that is public, already lawfully known, legitimately received from a third party or independently developed.
The obligation applies during the contract and for five years after it ends, without a time limit for trade secrets protected by law. Disclosure required by an authority is possible after prior notice where the law permits.
23
Obligation of means and absence of commercial guarantee
Mystorie is subject to an obligation of means (obligation de moyens). Recommendations, prototypes, content, automation and Deliverables are based on the circumstances, data and tools available at the time of the assignment.
Unless an express quantified commitment is made, no level of revenue, conversion, audience, SEO ranking, savings, availability, advertising result or business performance is guaranteed. The Client remains responsible for its decisions, tests, approvals, production launches and operational results.
24
Liability
Mystorie is liable for proven direct and foreseeable damage resulting from a contractual breach. To the extent permitted by law, indirect losses, lost revenue, margin, opportunities, clientele or reputation, unbacked-up data, and the consequences of a Third-Party Service or a Client instruction are excluded.
Mystorie's total liability, on all grounds, is capped at the amount excluding tax actually paid for the order giving rise to the damage during the twelve months preceding the event giving rise to liability. This cap does not apply to liabilities that cannot legally be limited, including in cases of bodily injury, gross negligence or intentional wrongdoing.
25
Force majeure
Neither party is liable for a failure caused by an event meeting the criteria for force majeure under applicable law. Performance of the affected obligation is suspended for the duration of the event. The affected party informs the other as soon as possible and reasonably limits the effects.
If the impediment becomes permanent, the contract is terminated under the conditions provided by law. If it lasts more than sixty days, either party may end the affected part of the contract without compensation, while services already performed and irreversible commitments remain payable.
26
End of assignment and handover
At the end of the assignment and after full payment, Mystorie hands over the Deliverables and access expressly provided for. Any migration, structured export, additional documentation, account transfer, assistance to a successor provider, retention or certified deletion of data constitutes a billable handover service unless included in the quotation.
The Client promptly backs up the materials handed over and changes any shared passwords. Mystorie may delete its working copies after the applicable legal and operational retention periods.
27
Evidence, communications and non-waiver
Electronic exchanges, approvals in project tools, signed quotations, technical logs, invoices and proof of payment are admissible between the parties. Contractual notices are sent to the contact details provided; each party notifies the other of any change.
Failure to exercise a right immediately does not constitute a waiver. If a clause is declared unenforceable, the other provisions remain in force and the parties replace it with a valid clause having a comparable economic effect.
28
Applicable law and dispute resolution
The contract is governed by French law. Before taking legal action, the parties attempt to resolve their dispute in good faith for thirty days from a detailed written notice, without preventing urgent or protective measures.
Where both the Client and Mystorie have the status of commerçant under French law, any dispute relating to the contract falls within the exclusive jurisdiction of the Tribunal de commerce de Paris, including in summary proceedings, where there are multiple defendants or where a third party is joined to the proceedings under a warranty claim. In all other cases, the statutory rules of jurisdiction apply.
29
Version and effective date
Version 2.0 effective as of 30 July 2026. The applicable version is the one accepted when the order was placed. Any subsequent amendment applies to an order in progress only with the parties' agreement, unless a change is required by a mandatory rule.
